Terms of Service

1. Binding Legal Contract
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between Tariqak Studio ("Agency", "We", "Us") and any individual, corporate enterprise, or business entity ("Client", "User", "You") commissioning web development, visual branding, graphic design, social media management, motion graphics, 3D product rendering, or digital marketing services.
By commissioning a project, executing a proposal statement of work (SOW), or utilizing this website, you confirm that you have read, understood, and unconditionally agree to be legally bound by all terms, policies, and conditions set forth herein.
2. Scope of Agency Services
Tariqak Studio provides professional creative and digital engineering services as defined in individual project proposals and Statements of Work. Services include:
- Custom Web Design, Front-End & Back-End Web Engineering.
- Brand Visual Identity Architecture & Company Profile Design.
- Graphic Design, Motion Graphics Animation & 3D Product Rendering.
- Digital Marketing Strategy, Search Engine Optimization (SEO) & Social Media Campaigns.
Any work requested outside the agreed written Scope of Work will require a formal written Change Request order and may incur additional engineering and design fees.
3. Client Responsibilities & Content Provision
To ensure timely project execution and delivery according to project milestones:
- Asset Deliveries: Client agrees to supply all necessary text content, high-resolution vector assets, brand guidelines, and product photography required for project implementation within agreed timelines.
- Intellectual Property Warranties: Client warrants that all assets provided to Tariqak Studio are either owned by the Client or properly licensed, and do not infringe upon any third-party copyright, trademark, or proprietary right.
- Feedback & Approval Timelines: Client agrees to provide prompt written feedback and milestone approvals within 5 business days of submission by the Agency to avoid project schedule delays.
4. Intellectual Property Rights & Asset Ownership
Upon final receipt of full contract payment, Tariqak Studio grants the Client full, exclusive ownership rights to final approved design deliverables, brand identity graphics, custom website source code, and custom project collateral created specifically for the Client.
Tariqak Studio retains ownership of all preliminary unapproved concepts, pre-existing proprietary design frameworks, reusable core utility scripts, and agency development tools used during production.
5. Payment Schedules, Invoicing & Milestone Policies
Unless explicitly specified otherwise in writing within a signed Statement of Work, standard project payments follow a structured milestone deposit framework:
- Project Deposit: A non-refundable 50% deposit is required prior to project kick-off and initial wireframe phase.
- Milestone Payments: Intermediate payments are due upon completion and review of designated project phases (e.g. prototype sign-off).
- Final Balance & Deployment: The remaining 50% balance is due prior to final source code deployment, server launch, or high-resolution vector file transfer.
6. Confidentiality & Non-Disclosure
Both Tariqak Studio and the Client agree to treat all proprietary business information, technical specifications, strategic marketing data, and trade secrets exchanged during project execution as strictly confidential. Confidential information shall not be disclosed to any unauthorized third party without prior written consent.
7. Portfolio Promotional Rights
Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA) prior to contract execution, Tariqak Studio reserves the right to showcase completed non-confidential project visuals, case studies, and website links within our public agency portfolio, marketing materials, and digital award submissions.
8. Limitation of Liability & Disclaimers
To the maximum extent permitted by applicable law, Tariqak Studio, its directors, developers, and designers shall not be liable for any indirect, incidental, consequential, special, or punitive damages—including loss of corporate revenue, data corruption, or third-party server downtime—arising out of or related to project services.
Tariqak Studio’s total aggregate liability for any claims under these Terms shall not exceed the total contract fees paid by the Client to the Agency for the specific project giving rise to the claim.
9. Contract Termination Policies
Either party may terminate a project contract upon 14 days written notice if the other party materially breaches any provision of these Terms. In the event of early termination, the Client shall pay Tariqak Studio for all completed work, billable hours, and non-cancellable commitments incurred up to the effective termination date.
10. Governing Law & Dispute Resolution
These Terms shall be governed by, construed, and enforced in accordance with applicable international commercial laws and regulations. Any disputes or claims arising out of or in connection with these Terms shall first be resolved through good-faith negotiation, or submitted to formal legal arbitration.
